N.Y. Limited Liability Company Law Section 208
Execution, amendment or cancellation by judicial act


If a person required by § 207 (Execution of articles or certificates)section two hundred seven of this article to execute articles or a certificate fails or refuses to do so, any member or any permitted assignee of a membership interest who is adversely affected by such failure or refusal may petition the supreme court in the judicial district in which the office of the limited liability company is or is to be located to direct the execution of such articles or certificate. If the court finds that such articles or certificate should be executed and that such person has failed or refused to execute such articles or certificate, it shall order such person to file the appropriate articles or certificate.
